Agreement to Terms
Welcome to OnesDev. By accessing or using our website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
These Terms of Service constitute a legally binding agreement between you and OnesDev regarding your use of our services.
Services Overview
OnesDev provides professional software development and technology services, including but not limited to:
- Web Development
- Mobile App Development
- UI/UX Design and Engineering

- Maintenance and Scaling Services
The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate Statement of Work (SOW) or project agreement.
Use of Services
Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.
Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use our services in any way that violates applicable laws or regulations
- Engage in any conduct that restricts or inhibits anyone's use of our services
- Transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems or networks
- Use our services to infringe upon intellectual property rights
- Impersonate any person or entity or misrepresent your affiliation
Project Terms
Project Agreements
Each project engagement will be governed by a separate Statement of Work (SOW) that outlines:
- Project scope and deliverables
- Timeline and milestones
- Payment terms and pricing
- Responsibilities of both parties
- Acceptance criteria
Client Responsibilities
As a client, you agree to:
- Provide timely feedback and approvals
- Supply necessary materials, content, and information
- Designate a primary point of contact
- Respond to inquiries within agreed timeframes
- Make timely payments according to the agreed schedule
Project Changes
Any changes to the project scope, timeline, or deliverables must be documented in writing and may result in adjusted pricing and timelines. We will provide estimates for change requests before proceeding with additional work.
Payment Terms
Pricing and Invoicing
All prices are quoted in USD unless otherwise specified. Invoices will be issued according to the payment schedule outlined in the project agreement. Payment is due within 30 days of the invoice date unless otherwise agreed.
Late Payments
Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less. We reserve the right to suspend work on projects with overdue payments.
Refunds
Payments for completed work are non-refundable. For ongoing projects, refunds will be considered on a case-by-case basis for work not yet performed.
Intellectual Property Rights
Client Materials
You retain all rights to materials, content, and information you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of completing your project.
Work Product
Upon full payment, you will own the final deliverables specifically created for your project. However, we retain rights to:
- Pre-existing materials, templates, and frameworks
- General methodologies and development processes
- Reusable code components and libraries
- Portfolio usage rights for displaying completed work
Third-Party Components
Projects may incorporate third-party software, libraries, or services subject to their own licenses. You are responsible for compliance with these licenses.
Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional and workmanlike manner. For a period of 30 days after project completion, we will fix any defects or errors at no additional charge, provided they are reported in writing.
Disclaimer
Except as expressly stated, our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:
- Services will be uninterrupted or error-free
- Results will meet your specific requirements
- All errors will be corrected
- The services will be compatible with all systems or configurations
Limitation of Liability
To the maximum extent permitted by law, OnesDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the project. This obligation survives the termination of the agreement.
Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
Termination
Either party may terminate a project engagement with written notice. Upon termination:
- Client must pay for all work completed up to the termination date
- We will deliver all completed work and materials
- Both parties will return or destroy confidential information
- Surviving provisions (confidentiality, intellectual property, payment obligations) remain in effect
We reserve the right to immediately terminate services if you breach these Terms or engage in unlawful conduct.
Indemnification
You agree to indemnify and hold harmless OnesDev from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
Dispute Resolution
Any disputes arising from these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.
General Provisions
Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between you and OnesDev regarding the use of our services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
